Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of mimirsystems.ai and related services (the "Service") operated by Mimir Systems, Inc. ("Mimir," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms, our Privacy Policy at mimirsystems.ai/privacy, and any additional terms referenced herein. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Enterprise and institutional customers may be governed by a separate Master Service Agreement, which will control in the event of a conflict with these Terms.
2. The Service
2.1 What Mimir Does
Mimir is a Q&A platform for scientific research. You ask technical questions; Mimir returns natural-language answers drawn from indexed published scientific literature. Every response includes citations to the source papers from which the information was drawn.
2.2 What Mimir Is Not
Mimir is a research tool. It is not a substitute for reading the original scientific literature, and it is not a source of professional engineering, safety, or design advice. Mimir helps you find answers faster. The cited papers are the source of truth.
Citations in Mimir's responses refer to real papers in our index. However, the accuracy of how their contents are described should be verified against the original sources. Mimir is not a substitute for reading the original literature or for independent professional judgment in engineering, safety-critical, or other consequential applications.
2.3 Service Availability
The Service is provided on an "as available" basis. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We may also modify these Terms from time to time as described in Section 12.
3. Accounts
3.1 Eligibility
The Service is currently available to users with affiliations at academic and governmental institutions, or those with a valid access code. By creating an account, you represent that:
- You are at least 18 years old (or the age of majority in your jurisdiction).
- The information you provide at registration (including your email, role, and institutional affiliation) is accurate.
- You will keep your account information current.
3.2 Account Security
You are responsible for maintaining the security of your account, including the security of your Google account if you have signed up using Google OAuth.
Do not allow others to access your Mimir account. You are responsible for all activity that occurs under your account.
3.3 One Account Per Person
Each account is for a single individual. You may not create multiple accounts to circumvent usage limits or for any other purpose. We reserve the right to merge or terminate duplicate accounts.
4. Acceptable Use
4.1 Permitted Use
The Service is intended for legitimate scientific research, education, and industrial research and development. You may use Mimir's responses in your own work, including in publications, reports, and presentations, provided you cite the original source papers (not Mimir) as the authority for any claims.
4.2 Prohibited Use
You may not use the Service to:
- Develop weapons. Including chemical, biological, radiological, nuclear, or explosive weapons.
- Violate sanctions or applicable trade restrictions. You may not use the Service in violation of U.S. sanctions or other applicable trade restrictions. You represent that you are not located in, and will not use the Service from, any country or region subject to comprehensive U.S. sanctions, and that you are not a person or entity on any U.S. government restricted party list.
- Scrape, crawl, or systematically extract data. You may not use bots, scrapers, browser automation, or any automated means to access the Service, extract data, or collect responses. All access must be through the standard web interface by a human user.
- Circumvent access controls or rate limits. Including creating multiple accounts, sharing credentials, using automated tools to bypass usage limits, or any other method of obtaining access beyond what your account tier provides.
- Reverse engineer the Service. You may not attempt to extract, reconstruct, or deduce Mimir's retrieval logic, prompt structures, extraction methods, ranking algorithms, or any other proprietary components of the system — including through systematic querying designed to probe system behavior.
- Attack the Service. You may not attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts. This includes but is not limited to probing for vulnerabilities, denial-of-service attacks, injection attacks, or any form of unauthorized security testing.
- Redistribute responses at scale. You may not systematically republish, redistribute, or compile Mimir's responses to build a competing product, dataset, or service. You may share individual responses using the Service's built-in sharing features.
- Misrepresent your identity. You may not provide false information about your identity, institutional affiliation, role, or other account information to gain access to the Service.
4.3 Academic Integrity
You are responsible for ensuring that your use of the Service complies with the academic integrity policies of your institution. Mimir is a research tool, not a substitute for original scholarship. If you use information obtained through Mimir in academic work, you should cite the original source papers, not Mimir. Compliance with your institution's standards regarding AI-assisted research is your responsibility.
4.4 Reservation of Rights
We reserve the right to suspend or terminate any account, at our sole discretion, with or without cause, and with or without notice. Without limiting the foregoing, we may take action against any account whose usage we determine, in our judgment, poses a risk to safety, violates these Terms, or is inconsistent with the intended purpose of the Service.
For free-tier accounts, Mimir is provided at no cost and we have no obligation to continue providing the Service to any user.
5. Intellectual Property
5.1 Your Content
You retain ownership of your queries and any other content you provide through the Service ("Your Content"). By using the Service, you grant Mimir a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, process, store, and create derivative works from Your Content in anonymized or pseudonymized form, as described in our Privacy Policy. This license permits us to use Your Content for service improvement, system development, and research as described in the Privacy Policy, and it survives termination of your account (because anonymized data cannot be recalled).
Enterprise and institutional customers may negotiate different terms governing the use of their content under a separate Master Service Agreement, which will control in the event of a conflict with these Terms.
You represent that you have the right to submit any content you provide through the Service.
5.2 Mimir's Responses
Mimir's responses contain facts, data, and synthesis drawn from published scientific literature and generated with the assistance of AI models. We grant you a non-exclusive license to use Mimir's responses for your own research, educational, and professional purposes — including in publications, reports, and presentations.
You may not:
- Systematically redistribute, republish, or compile Mimir's responses to build a competing product, dataset, or service.
- Remove or obscure citations or source attributions included in responses.
- Represent Mimir's responses as your own original analysis.
5.3 Source Papers
Mimir's responses reference published scientific literature that is owned by the respective authors and publishers. Nothing in these Terms grants you any rights to the underlying papers. Access to those papers is governed by the publishers' own terms and your institutional subscriptions. When Mimir provides a citation link, clicking it will take you to the publisher's site.
5.4 The Service
The Service — including its software, models, design, retrieval systems, extraction methods, and all associated intellectual property — is and remains the property of Mimir Systems, Inc. Nothing in these Terms grants you any ownership interest in the Service, and all rights not expressly granted are reserved.
6. Usage Limits and Structured Feedback
The free tier of the Service includes usage limits. One mechanism for expanding your access beyond these limits is providing structured, rubric-based feedback on response quality. This feedback becomes part of our service improvement data as described in our Privacy Policy.
Usage limits, the availability of structured feedback as an expansion mechanism, and the specific thresholds may change at any time.
7. Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy at mimirsystems.ai/privacy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
8. Disclaimers
8.1 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.
8.2 Accuracy
While Mimir is designed to retrieve information from real, published scientific papers and cannot fabricate references to papers that do not exist, we do not guarantee the accuracy, completeness, or relevance of any response. Responses are limited by the coverage and quality of our indexed corpus and the performance of our retrieval and synthesis systems. You are responsible for verifying information against the original source papers before relying on it.
8.3 Not Professional Advice
Mimir's responses are for informational and research purposes only. They do not constitute professional engineering, safety, medical, legal, or other expert advice. Do not rely on Mimir's responses for safety-critical decisions, structural design, or any application where inaccurate information could cause harm, without independent verification by a qualified professional.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIMIR SYSTEMS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIMIR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MIMIR IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF WHETHER MIMIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify and hold harmless Mimir Systems, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law, regulation, or third-party right; or (c) any content you submit through the Service.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.
13. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and Mimir regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
Survival. Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Governing Law) survive termination of these Terms.
